Abkommen zur Änderung des Protokolls über Privilegien und Immunitäten der Euro­päischen Fernmeldesatellitenorganisation (EUTELSAT)

AMENDING AGREEMENT TO THE PROTOCOL ON THE PRIVILEGES AND IMMUNITIES OF THE EUROPEAN TELECOMMUNICATIONS SATELLITE ORGANIZATION (EUTELSAT)

THE PARTIES TO THE PRESENT AMENDING AGREEMENT:

BEING PARTIES to the Convention establishing the European Telecommunications Satellite Organization (EUTELSAT) opened for signature at Paris on 15 July 1982 (“the Convention”);

ALSO BEING PARTIES to the Protocol on the Privileges and Immunities of the European Telecommunications Satellite Organization (EUTELSAT), done at Paris on 13 February 1987, (“the Protocol”);

TAKING NOTE that the EUTELSAT Assembly of Parties, at its Twenty-Sixth Meeting, adopted amendments to the Convention for the restructuring of EUTELSAT, including amendments to Article XVII c) thereof pursuant to which the Protocol was concluded;

CONSIDERING that it is desirable to amend the Protocol for consistency with the amended Convention;

HAVE AGREED TO AMEND THE PROTOCOL AS FOLLOWS:

Article I

The preambular paragraphs of the Protocol are replaced by the following text:

HAVING REGARD to the Convention establishing the European Telecommunications Satellite Organization, opened for signature at Paris on 15 July 1982, as amended, and, in particular, to Article XII c) of the amended Convention;

TAKING NOTE that the Organization has concluded a Headquarters Agreement with the Government of France;

CONSIDERING that the aim of this Protocol is to facilitate the achievement of the purpose of the Organization and to ensure the efficient performance of its functions.

Article II

Article 1 – Definitions – is replaced by the following text:

Definitions

For the purposes of this Protocol:

         (a) “Convention” means the Convention establishing the European Telecommunications Satellite Organization, including its Annexes, opened for signature at Paris on 15 July 1982;

         (b) “Party to the Convention” means a State for which the Convention is in force;

         (c) “Headquarters Party” means the Party to the Convention in whose territory the Organization has established its headquarters;

         (d) “Party to the Protocol” means a State for which this Protocol, or this Protocol as amended, as the case may be, is in force;

         (e) “Staff member” means the Executive Secretary and any person employed full time by EUTELSAT and subject to its staff regulations;

          (f) “Representatives” in the case of Parties to the Protocol, and the Headquarters Party, means representatives to EUTELSAT including heads of delegations and their alternates and advisers;

         (g) “Archives” means all records belonging to or held by EUTELSAT such as manuscripts, correspondence, documents, photographs, films, optical and magnetic recordings, data recordings, graphic representations and computer programmes;

         (h) “Official activities” of EUTELSAT means activities carried out by the Organization within the framework of its objectives as defined in the Convention and includes its administrative activities;

          (i) “Expert” means a person other than a staff member appointed to carry out a specific task for or on behalf of EUTELSAT and at its expense;

          (j) “Property” means anything that can be the subject of a right of ownership, including contractual rights;

         (k) “Executive Secretary” means the Executive Secretary of EUTELSAT.

Article III

Article 3 – Immunity of EUTELSAT from Jurisdiction and Execution, is replaced by the following text:

Immunity of the Organization from Jurisdiction and Execution

(1) Unless it has expressly waived immunity in a particular case, EUTELSAT shall, in the exercise of its official activities, have immunity from jurisdiction except in the following cases:

         (a) Any commercial activities;

         (b) Where a civil action is brought by a third party for damage arising from an accident caused by a motor vehicle or any other means of transport belonging to, or operated on behalf of EUTELSAT or in respect of a traffic offence involving such a vehicle or means of transport;

         (c) for the attachment, pursuant to the final order of a court of law, of the salaries and emoluments, including pensions rights, owed by EUTELSAT to a staff member, or a former staff member;

         (d) in respect of a counter-claim directly connected with judicial proceedings initiated by EUTELSAT;

         (e) for the enforcement of an arbitration award made under Article XV of the Convention.

(2) Notwithstanding paragraph (1), no action shall be brought in the courts of Parties to the Protocol against EUTELSAT by Parties to the Convention or persons acting for or deriving claims from any of them, relating to rights and obligations under the Convention.

(3) The property and assets of EUTELSAT, wherever located and by whomsoever held, shall be immune from any search, restraint, requisition, seizure, confiscation, expropriation, sequestration or execution, whether by executive, administrative or judicial action, except in respect of:

         (a) An attachment or execution in order to satisfy a final judgement or order of a court of law that relates to any proceedings that may be brought against EUTELSAT pursuant to paragraph (1);

         (b) Any action taken in accordance with the law of the State concerned which is temporarily necessary in connection with the prevention of and investigation into accidents involving motor vehicles or other means of transport belonging to, or operated on behalf of, EUTELSAT;

         (c) Expropriation in respect of real property for public purposes and subject to prompt payment of fair compensation, provided that such expropriation does not prejudice the functions and operations of EUTELSAT.

Article IV

Article 4 – Fiscal and customs provisions – is amended as follows:

(1) Paragraphs (3) and (8) are deleted;

(2) The remaining paragraphs are re-numbered (1) to (6), respectively.

Article V

Article 8 – Representatives of Signatories – is deleted.

Article VI

Article 10 – Director General – is amended as follows:

The words “Director General”, wherever appearing, are deleted and replaced by the words “Executive Secretary”.

Article VII

Article 13 – Notification of Staff Members and Experts – is amended as follows:

The words “Director General”, are deleted and replaced by the words “Executive Secretary”.

Article VIII

Article 14 – Waiver – is replaced by the following text:

Waiver

(1) The privileges, exemptions and immunities provided for in this Protocol are not granted for the personal benefit of individuals but for the efficient performance of their official functions.

(2) If, in the view of the authorities listed below, privileges and immunities are likely to impede the course of justice, and in all cases where they may be waived without prejudice to the purposes for which they have been accorded, these authorities have the right and duty to waive such privileges and immunities:

         (a) The Parties to the Protocol in respect of their representatives;

         (b) The Assembly, convened if necessary in extraordinary session, in respect of EUTELSAT or of the Executive Secretary;

         (c) The Executive Secretary in respect of staff members and experts.

Article IX

Article 18 – Settlement of Disputes – as renumbered, is amended as follows:

The words “Article XX” are replaced by the words “Article XV”.

Article X

Article 19 – Arbitration Clause in written contracts – is amended as follows:

The words “Director General”, are replaced by the words “Executive Secretary”.

Article XI

Article 20 – Settlement of disputes concerning damage, non-contractual liability, or concerning staff members or Experts – is amended as follows:

The words “Article XX” are replaced by the words “Article XV”.

Article XII

Article 22 – Signature, ratifications, accession and reservations – is amended as follows:

In paragraph 3), the reference to “Article 25” is replaced by a reference to “Article 24”.

Article XIII

Article 23 – Entry into force and Duration of Protocol – is amended as follows:

The reference to “Article 22” is replaced by a reference to “Article 24”.

Article XIV

Article 24 – Entry into force and Duration for a State – is amended as follows:

The reference to “Article 22” is replaced by a reference to “Article 24”.

Article XV

Article 25 – Depositary – is amended as follows:

The reference to “The Director General”, is replaced by a reference to “The Executive Secretary”.

Article XVI

All articles from Article 9 are renumbered as a result of the deletion of Article 8.

FINAL CLAUSES

Article XVII

Signature, Ratification and Accession

(1) This Amending Agreement shall be open for signature at the Headquarters of EUTELSAT from 1st May 2001 to 31 December 2001.

(2) All Parties to the Convention, other than the Headquarters Party, may become Parties to this Amending Agreement by:

         (a) Signature not subject to ratification, acceptance or approval; or

         (b) Signature subject to ratification, acceptance or approval, followed by ratification, acceptance or approval; or

         (c) Accession.

(3) Ratification, acceptance, approval or accession shall be effected by the deposit of the appropriate instrument with the Depositary.

(4) A State which is a Party to this Amending Agreement but is not a Party to the Protocol shall be bound by the provisions of the Protocol as amended by this Amending Agreement in relation to other Parties hereto, but shall not be bound by the provisions of the Protocol in relation to States Parties only to the Protocol.

(5) Reservations to this Amending Agreement may be made in accordance with international law.

Article XVIII

Entry into Force of Amending Agreement

This Amending Agreement shall enter into force on the thirtieth day after the date on which two Parties to the Convention have fulfilled the requirements of paragraph (2) of Article XVII.

Article XIX

Entry into Force for a State

(1) For a State which has fulfilled the requirements of paragraph (2) of Article XVII after the date of entry into force of this Amending Agreement, this Amending Agreement shall enter into force on the thirtieth day after the date of signature or of the deposit of such instrument with the Depositary, respectively.

(2) Any State which becomes a Party to the Protocol after the entry into force of this Amending Agreement pursuant to Article XVIII shall, failing an expression of a different intention by that State:

         (a) Be considered as a Party to the Protocol as amended; and

         (b) Be considered as a Party to the unamended Protocol in relation to any Party to the Protocol not bound by this Amending Agreement.

Article XX

Depositary

(1) The Executive Secretary shall be the Depositary of this Amending Agreement.

(2) The Depositary shall, in particular, promptly notify all Parties to the Convention of:

         (a) Any signature of the Amending Agreement;

         (b) The deposit of any instrument of ratification, acceptance, approval or accession;

         (c) The date of entry into force of this Amending Agreement;

         (d) Any other communications relating to this Amending Agreement.

(3) Upon entry into force of this Amending Agreement, the Depositary shall transmit a certified copy of the original to the Secretariat of the United Nations for registration and publication in accordance with Article 102 of the Charter of the United Nations.

Article XXI

Authentic Texts

This Amending Agreement is established in a single original in the English and French languages, both texts being equally authentic, and shall be deposited with the Depositary who shall send a certified copy to each Party to the Convention.

IN WITNESS WHEREOF the undersigned, duly authorized for that purpose by their respective Governments, have signed this Amending Agreement.

ACCORD PORTANT AMENDEMENT AU PROTOCOLE SUR LES PRIVILEGES ET IMMUNITES DE L’ORGANISATION EUROPEENNE DE TELECOMMUNICATIONS PAR SATELLITE (EUTELSAT)

LES PARTIES AU PRESENT ACCORD :

ETANT PARTIES à la Convention portant création de l’Organisation européenne de télécommunications par satellite (EUTELSAT) ouverte à la signature à Paris le 15 juillet 1982 («la Convention»),

ETANT EGALEMENT PARTIES au Protocole sur les privilèges et immunités de l’Organisation européenne de télécommunications par satellite (EUTELSAT), fait à Paris le 13 février 1987, («le Protocole»),

NOTANT que l’Assemblée des Parties d’EUTELSAT, à sa vingt-sixième réunion, a adopté des amendements à la Convention en vue de la transformation d’EUTELSAT, y compris des amendements à l’article XVII c) de ladite Convention, en vertu duquel le Protocole a été conclu,

CONSIDERANT qu’il est souhaitable d’amender le Protocole aux fins d’harmonisation avec la Convention amendée,

SONT CONVENUES D’AMENDER LE PROTOCOLE COMME SUIT :

Article I

Remplacer les paragraphes de préambule du Protocole par le texte suivant :

CONSIDERANT la Convention portant création de l’Organisation européenne de télécommunications par satellite (EUTELSAT) ouverte à la signature à Paris le 15 juillet 1982, telle qu’elle est amendée, et, notamment, l’article XII c) de la Convention amendée,

NOTANT que l’Organisation a conclu un Accord de siège avec le Gouvernement français,

CONSIDERANT que l’objet du présent Protocole est de faciliter la réalisation de l’objectif de l’Organisation et de garantir la bonne exécution de ses fonctions.

Article II

Article 1 – Définitions – Remplacer par le texte suivant :

Définitions

Aux fins du présent Protocole :

           a) le terme «Convention» désigne la Convention portant création de l’Organisation européenne de télécommunications par satellite, y compris ses annexes, ouverte à la signature à Paris le 15 juillet 1982;

          b) l’expression «Partie à la Convention» désigne un Etat à l’égard duquel la Convention est entrée en vigueur ;

           c) l’expression «Partie abritant le siège» désigne la Partie à la Convention sur le territoire de laquelle l’Organisation a établi son siège;

          d) l’expression «Partie au Protocole» désigne un Etat à l’égard duquel le présent Protocole, ou le Protocole amendé, selon le cas, est entré en vigueur;

           e) l’expression «membre du personnel» désigne le Secrétaire exécutif et toute personne employée à plein temps par EUTELSAT et soumise à son statut du personnel;

           f) le terme «représentants», dans le cas des Parties au Protocole et de la Partie abritant le siège, désigne les représentants auprès d’EUTELSAT comprenant les chefs de délégation, suppléants et conseillers;

          g) le terme «archives» désigne tous les dossiers appartenant à EUTELSAT ou détenus par elle, tels que les manuscrits, la correspondance, les documents, les photographies, les films, les enregistrements optiques et magnétiques, les enregistrements de données, les représentations graphiques et les programmes informatiques;

          h) l’expression «activités officielles» d’EUTELSAT désigne les activités menées par l’Organisation dans le cadre de ses objectifs tels qu’ils sont définis dans la Convention, y compris ses activités administratives;

            i) le terme «expert» désigne une personne autre qu’un membre du personnel nommée pour exécuter une tâche précise pour le compte ou au nom d’EUTELSAT et aux frais de cette dernière;

            j) le terme «biens» désigne tout ce qui peut faire l’objet d’un droit de propriété, y compris les droits contractuels;

           k) l’expression «Secrétaire exécutif» désigne le Secrétaire exécutif d’EUTELSAT.

Article III

Article 3 – Immunité de juridiction et d’exécution d’EUTELSAT – Remplacer par le texte suivant:

Immunité de juridiction et d’exécution de l’Organisation

1) A moins d’avoir renoncé expressément à son immunité dans un cas particulier, EUTELSAT bénéficie, dans l’exercice de ses activités officielles, de l’immunité de juridiction, sauf dans les cas suivants :

           a) toutes activités commerciales;

          b) lorsqu’une action civile est intentée par un tiers pour les dommages résultant d’un accident causé par un véhicule automobile ou tout autre moyen de transport appartenant à EUTELSAT ou circulant pour son compte ou en cas d’infraction à la réglementation routière intéressant le véhicule ou le moyen de transport précité;

           c) pour la saisie, en exécution d’une décision juridictionnelle sans appel, des traitements et émoluments, y compris les droits à pensions, dus par EUTELSAT à un membre ou à un ancien membre du personnel;

          d) dans le cas d’une demande reconventionnelle directement liée à une action judiciaire intentée par EUTELSAT;

           e) pour l’exécution d’une décision arbitrale rendue en vertu de l’article XV de la Convention.

2) Nonobstant les dispositions du paragraphe 1), aucune action ayant trait aux droits et obligations en vertu de la Convention ne peut être intentée contre EUTELSAT devant les tribunaux des Parties au présent Protocole par des Parties à la Convention ou des personnes agissant en leur nom, ou faisant valoir des droits cédés par elles.

3) Les biens et l’actif d’EUTELSAT, où qu’ils se trouvent et quel qu’en soit le détenteur, sont exempts de toute perquisition, contrainte, réquisition, saisie, confiscation, expropriation, mise sous séquestre ou de toute autre forme d’exécution, que ce soit par décision exécutoire, administrative ou judiciaire, sauf lorsqu’il s’agit:

           a) d’une saisie ou d’une exécution opérée en application d’une décision juridictionnelle sans appel prononcée dans le cadre de toute action intentée contre EUTELSAT en application du paragraphe 1);

          b) de toute mesure prise conformément à la législation de l’Etat intéressé lorsqu’elle est temporairement nécessaire à la prévention des accidents qui mettent en cause des véhicules automobiles ou d’autres moyens de transport appartenant à EUTELSAT ou circulant pour son compte, ainsi qu’à l’enquête dont ces accidents font l’objet;

           c) d’une expropriation de biens immobiliers pour cause d’utilité publique, et sous réserve du prompt paiement d’une indemnité équitable, à condition que ladite expropriation ne porte pas préjudice aux fonctions et activités d’EUTELSAT.

Article IV

Article 4 – Dispositions fiscales et douanières – Le texte est amendé comme suit:

           1) Supprimer les paragraphes 3) et 8);

           2) Renuméroter les paragraphes restants de 1) à 6).

Article V

Article 8 – Représentants des Signataires – Supprimer.

Article VI

Article 10 – Directeur général – Le texte est amendé comme suit:

Supprimer l’expression «Directeur général» partout où elle apparaît, et remplacer par «Secrétaire exécutif».

Article VII

Article 13 – Notification des noms des membres du personnel et des experts – Le texte est amendé comme suit:

Supprimer l’expression «Directeur général» et remplacer par «Secrétaire exécutif».

Article VIII

Article 14 – Renonciation – Remplacer par le texte suivant:

Renonciation

1) Les privilèges, exemptions et immunités prévus dans le présent Protocole sont accordés aux personnes qui en bénéficient non pas en vue de leur avantage personnel, mais dans le but de leur permettre de s’acquitter efficacement de leurs fonctions officielles.

2) Si, de l’avis des autorités mentionnées ci-après, les privilèges et immunités sont de nature à entraver l’action de la justice et dans tous les cas où ils peuvent être levés sans compromettre les buts pour lesquels ils ont été accordés, ces autorités ont le droit et le devoir de lever ces privilèges et immunités:

           a) les Parties au Protocole, pour ce qui est de leurs représentants;

          b) l’Assemblée, convoquée, le cas échéant, en session extraordinaire, pour ce qui est d’EUTELSAT ou du Secrétaire exécutif;

           c) le Secrétaire exécutif, pour ce qui est des membres du personnel et des experts.

Article IX

Article 18 – Règlement des différends – Du fait de la nouvelle numérotation, le texte est amendé comme suit:

Remplacer «article XX» par «article XV».

Article X

Article 19 – Clause d’arbitrage dans les contrats écrits – Le texte est amendé comme suit:

Remplacer «Directeur général» par «Secrétaire exécutif».

Article XI

Article 20 – Règlement des différends relatifs aux dommages, à la responsabilité non contractuelle ou aux membres du personnel ou experts – Le texte est amendé comme suit:

Remplacer «article XX» par «article XV».

Article XII

Article 22 – Signature, ratification, adhésion et réserves – Le texte est amendé comme suit:

Au paragraphe 3, remplacer «article 25» par «article 24».

Article XIII

Article 23 – Entrée en vigueur et durée du Protocole – Le texte est amendé comme suit:

Remplacer «article 22» par «article 24».

Article XIV

Article 24 – Entrée en vigueur et durée à l’égard d’un Etat – Le texte est amendé comme suit:

Remplacer «article 22» par «article 24».

Article XV

Article 25 – Dépositaire – Le texte est amendé comme suit:

Remplacer «Directeur général» par «Secrétaire exécutif».

Article XVI

Tous les articles à partir de l’article 9 sont renumérotés suite à la suppression de l’article 8.

CLAUSES FINALES

Article XVII

Signature, ratification et adhésion

1) Le présent Accord portant amendement est ouvert à la signature, au siège d’EUTELSAT, du 1er mai 2000 au 31 décembre 2001.

2) Toutes les Parties à la Convention, autres que la Partie abritant le siège, peuvent devenir Parties au présent Accord portant amendement par:

           a) signature sans réserve de ratification, d’acceptation ou d’approbation;

          b) signature sous réserve de ratification, d’acceptation ou d’approbation, suivie de ratification, d’acceptation ou d’approbation; ou

           c) adhésion.

3) La ratification, l’acceptation, l’approbation ou l’adhésion s’effectuent par le dépôt de l’instrument approprié auprès du Dépositaire.

4) Tout Etat qui est Partie au présent Accord portant amendement mais qui n’est pas Partie au Protocole est lié par les dispositions du Protocole tel qu’il est amendé par le présent Accord portant amendement au regard des autres Parties, mais il n’est pas lié par les dispositions du Protocole au regard des Etats Parties au Protocole seulement.

5) Des réserves au présent Accord portant amendement peuvent être faites conformément au droit international.

Article XVIII

Entrée en vigueur de l’Accord portant amendement

Le présent Accord portant amendement entre en vigueur le trentième jour suivant la date à laquelle deux Parties à la Convention remplissent les conditions prévues à l’article XVII, paragraphe 2).

Article XIX

Entrée en vigueur à l’égard d’un Etat

1) Le présent Accord portant amendement prend effet, à l’égard d’un Etat qui remplit les conditions de l’article XVII, paragraphe 2), du présent Accord portant amendement après qu’il est entré en vigueur, le trentième jour suivant la date de signature ou de dépôt d’un instrument auprès du Dépositaire.

2) Tout Etat qui devient Partie au Protocole après l’entrée en vigueur du présent Accord portant amendement conformément aux dispositions de l’article XVIII est, faute d’avoir exprimé une intention différente, considéré comme étant:

           a) Partie au Protocole tel qu’il est amendé; et

          b) Partie au Protocole non amendé au regard de toute Partie au Protocole qui n’est pas liée par le présent Accord portant amendement.

Article XX

Dépositaire

1) Le Secrétaire exécutif est le Dépositaire du présent Accord portant amendement.

2) Le Dépositaire informe, en particulier, toutes les Parties à la Convention au plus tôt:

           a) de toute signature du présent Accord portant amendement;

          b) du dépôt de tout instrument de ratification, d’acceptation, d’approbation ou d’adhésion;

           c) de la date d’entrée en vigueur du présent Accord portant amendement;

          d) de toutes autres communications ayant trait au présent Accord portant amendement.

3) Lors de l’entrée en vigueur du présent Accord portant amendement, le Dépositaire transmet une copie certifiée conforme de l’original au Secrétariat de l’Organisation des Nations Unies pour enregistrement et publication, conformément à l’article 102 de la Charte des Nations Unies.

Article XXI

Textes faisant foi

Le présent Accord portant amendement est établi en un seul exemplaire en langues française et anglaise, ces deux textes faisant également foi, et est déposé auprès du Dépositaire qui en adresse une copie certifiée conforme à toutes les Parties à la Convention.

EN FOI DE QUOI les soussignés, dûment autorisés à cet effet par leurs gouvernements respectifs, ont signé le présent Accord portant amendement.

DIE VERTRAGSSTAATEN DIESES ÄNDERUNGSABKOMMENS:

ALS VERTRAGSSTAATEN des Übereinkommens zur Gründung der Europäischen Fernmeldesatellitenorganisation (EUTELSAT), das am 15. Juli 1982 in Paris zur Unterzeichnung aufgelegt wurde („das Übereinkommen“);

EBENFALLS ALS VERTRAGSSTAATEN des am 13. Februar 1987 in Paris beschlossenen Protokolls über Privilegien und Immunitäten der Europäischen Fernmeldesatellitenorganisation (EUTELSAT) („das Protokoll“);

ANGESICHTS DER TATSACHE, dass die Versammlung der Vertragsparteien von EUTELSAT bei ihrer 26. Tagung Änderungen des Übereinkommens mit dem Ziel einer Umstrukturierung von EUTELSAT angenommen hat, einschließlich von Änderungen seines Artikels XVII lit. c, auf dessen Grundlage das Protokoll abgeschlossen worden ist;

IN DER ERWÄGUNG, dass es wünschenswert ist, das Protokoll durch eine Änderung mit dem geänderten Übereinkommen in Übereinstimmung zu bringen;

SIND ÜBEREINGEKOMMEN, DAS PROTOKOLL FOLGENDERMASSEN ZU ÄNDERN:

Artikel I

Die Präambularabsätze des Protokolls werden durch folgenden Text ersetzt:

IM HINBLICK AUF das Übereinkommen zur Gründung der Europäischen Fernmeldesatellitenorganisation, das am 15. Juli 1982 in Paris zur Unterzeichnung aufgelegt wurde, in seiner geänderten Fassung, und insbesondere auf Artikel XII lit. c des geänderten Übereinkommens;

ANGESICHTS DER TATSACHE, dass die Organisation mit der Regierung von Frankreich ein Amtssitzabkommen geschlossen hat;

IN DER ERWÄGUNG, dass dieses Protokoll den Zweck hat, die Verwirklichung der Ziele der Organisation zu erleichtern und die wirksame Wahrnehmung ihrer Aufgaben zu gewährleisten.

Artikel II

Artikel 1 – Begriffsbestimmungen – wird durch folgenden Text ersetzt:

Begriffsbestimmungen

In diesem Protokoll haben die nachstehenden Ausdrücke folgende Bedeutung:

           a) ,,Übereinkommen“ bezeichnet das am 15. Juli 1982 in Paris zur Unterzeichnung aufgelegte  Übereinkommen zur Gründung der Europäischen Fernmeldesatellitenorganisation einschließlich der Anlagen;

          b) ,,Partei des Übereinkommens“ bezeichnet einen Staat, für den das Übereinkommen in Kraft ist;

           c) ,,Partei des Amtssitzabkommens“ bezeichnet jene Partei des Übereinkommens, auf deren Hoheitsgebiet die Organisation ihren Amtssitz errichtet hat;

          d) ,,Partei des Protokolls“ bezeichnet einen Staat, für den dieses Protokoll beziehungsweise dieses Protokoll in seiner geänderten Fassung in Kraft ist;

           e) ,,Mitglied des Personals“ bezeichnet den Exekutivsekretär und alle anderen von EUTELSAT vollzeitig beschäftigten Personen, die dem Personalstatut unterstehen;

           f) ,,Vertreter“ bezeichnet im Fall der Parteien des Protokolls und der Partei des Amtssitzabkommens die Vertreter bei EUTELSAT einschließlich der Delegationsleiter, Stellvertreter und Berater;

          g) ,,Archive“ bezeichnet alle Aufzeichnungen, die sich im Eigentum oder Besitz der EUTELSAT befinden, wie zB Manuskripte, Schriftwechsel, Dokumente, Fotografien, Filme, optische und magnetische Aufnahmen, Datenaufnahmen, graphische Darstellungen und Computerprogramme;

          h) ,,Amtlicher Tätigkeitsbereich“ der EUTELSAT bezeichnet von der Organisation im Rahmen ihrer im Übereinkommen festgelegten Zielsetzungen ausgeführte Tätigkeiten einschließlich administrativer Tätigkeiten;

            i) ,,Sachverständiger“ bezeichnet ein für die Ausführung einer bestimmten Aufgabe für oder im Namen und auf Kosten von EUTELSAT ernanntes Nichtmitglied des Personals;

            j) ,,Vermögenswert“ bezeichnet jeden Gegenstand, der Eigentum sein kann, einschließlich vertraglicher Rechte;

           k) ,,Exekutivsekretär“ bezeichnet den Exekutivsekretär der EUTELSAT.

Artikel III

Artikel 3 – Immunität der EUTELSAT von der Gerichtsbarkeit und Vollstreckung – wird durch folgenden Text ersetzt:

Immunität der Organisation von der Gerichtsbarkeit und Vollstreckung

(1) Außer wenn sie im Einzelfall ausdrücklich auf die Immunität verzichtet hat, genießt die EUTELSAT im Rahmen der Wahrnehmung ihrer amtlichen Tätigkeiten Immunität von der Gerichtsbarkeit außer in folgenden Fällen:

           a) jede gewerbliche Tätigkeit;

          b) im Fall eines von einem Dritten angestrengten Zivilverfahrens wegen Schäden auf Grund eines Unfalls, der durch ein der EUTELSAT gehörendes oder im Namen der EUTELSAT betriebenes Kraftfahrzeug oder sonstiges Transportmittel verursacht wurde, oder im Fall eines Verstoßes gegen die Straßenverkehrsvorschriften, an dem ein solches Fahrzeug oder Transportmittel beteiligt ist;

           c) im Fall der von einem Gericht rechtskräftig angeordneten Pfändung von Gehältern und sonstigen Bezügen einschließlich Pensionsrechten, welche die EUTELSAT einem Mitglied des Personals oder einem früheren Mitglied des Personals schuldet;

          d) im Fall einer Widerklage, die in unmittelbarem Zusammenhang mit einem von der EUTELSAT angestrengten Verfahren steht;

           e) im Fall der Vollstreckung eines nach Artikel XV des Übereinkommens ergangenen Schiedsspruchs.

(2) Ungeachtet des Absatzes 1 werden von den Parteien des Übereinkommens oder Personen, die sie vertreten oder von ihnen Rechte ableiten, keine Verfahren hinsichtlich Rechten oder Pflichten, die sich aus dem Übereinkommen ergeben, gegen EUTELSAT bei Gerichten der Parteien des Protokolls angestrengt.

(3) Die Vermögenswerte und Guthaben, gleichviel wo und in wessen Besitz sie sich befinden, genießen Immunität von jeder Form der Durchsuchung, Pfändung, Beschlagnahme, Einziehung, Konfiszierung, Enteignung, Zwangsverwaltung oder Zwangsvollstreckung, sei es auf Grund einer behördlichen, administrativen oder gerichtlichen Entscheidung, außer im Falle:

                a) einer Pfändung oder Zwangsvollstreckung in Erfüllung eines rechtskräftigen Urteils oder einer gerichtlichen Verfügung im Zusammenhang mit jeglichen gegen EUTELSAT nach Absatz 1 angestrengten Verfahren;

               b) jeder Art von Maßnahmen auf Grund der Rechtsvorschriften des betreffenden Staates, die zur Verhinderung oder Untersuchung von Unfällen, an denen der EUTELSAT gehörende oder für die EUTELSAT betriebene Kraftfahrzeuge oder andere Verkehrsmittel beteiligt sind, vorübergehend erforderlich sind;

                c) der Enteignung von Liegenschaften im öffentlichen Interesse gegen umgehende Zahlung einer angemessenen Entschädigung, unter der Voraussetzung, dass eine derartige Enteignung nicht die Arbeit und den Betrieb der EUTELSAT beeinträchtigt.

Artikel IV

Artikel 4 – Steuer und Zollbestimmungen – wird wie folgt geändert:

(1) Absätze (3) und (8) entfallen;

(2) Die verbleibenden Absätze erhalten die Bezeichnungen (1) bis (6).

Artikel V

Artikel 8 – Vertreter der Unterzeichner – entfällt.

Artikel VI

Artikel 10 – Generaldirektor – wird wie folgt geändert:

Der Ausdruck „Generaldirektor“ wird, wo auch immer er vorkommt, gestrichen und durch den Ausdruck „Exekutivsekretär“ ersetzt.

Artikel VII

Artikel 13 – Notifizierung der Mitglieder des Personals und der Sachverständigen – wird wie folgt geändert:

Der Ausdruck „Generaldirektor“ wird gestrichen und durch den Ausdruck „Exekutivsekretär“ ersetzt.

Artikel VIII

Artikel 14 – Aufhebung - wird durch folgenden Text ersetzt:

(1) Die in diesem Protokoll vorgesehenen Privilegien, Ausnahmeregelungen und Immunitäten werden nicht zum persönlichen Vorteil einzelner, sondern zur effizienten Ausübung ihrer amtlichen Tätigkeit gewährt.

(2) Wenn nach Auffassung der nachstehend angeführten Stellen die Gefahr besteht, dass die Privilegien und Immunitäten verhindern, dass der Gerechtigkeit Genüge geschieht, und wenn sie ohne Beeinträchtigung der Zwecke, für welche sie gewährt wurden, aufgehoben werden können, haben diese Stellen das Recht und die Pflicht, diese Privilegien und Immunitäten aufzuheben:

                a) die Parteien des Protokolls hinsichtlich ihrer Vertreter;

               b) die Versammlung, notfalls zu einer außerordentlichen Tagung einberufen, hinsichtlich der EUTELSAT oder des Exekutivsekretärs;

                c) der Exekutivsekretär hinsichtlich der Mitglieder des Personals und der Sachverständigen.

Artikel IX

Artikel 18 – Beilegung von Streitigkeiten – in der neuen Nummerierung, wird wie folgt geändert:

Der Ausdruck „Artikel XX“ wird durch den Ausdruck „Artikel XV“ ersetzt.

Artikel X

Artikel 19 – Schiedsklausel in schriftlichen Verträgen – wird wie folgt geändert:

Der Ausdruck „Generaldirektor“ wird durch den Ausdruck „Exekutivsekretär“ ersetzt.

Artikel XI

Artikel 20 – Beilegung von Streitigkeiten in Bezug auf Schäden, nichtvertragliche Haftung oder in Bezug auf Mitglieder des Personals oder Sachverständigen – wird wie folgt geändert:

Der Ausdruck „Artikel XX“ wird durch den Ausdruck „Artikel XV“ ersetzt.

Artikel XII

Artikel 22 – Unterzeichnung, Ratifizierung, Beitritt und Vorbehalte – wird wie folgt geändert:

In Absatz (3) wird die Bezugnahme auf „Artikel 25“ durch eine Bezugnahme auf „Artikel 24“ ersetzt.

Artikel XIII

Artikel 23 – In-Kraft-Treten und Geltungsdauer des Protokolls – wird wie folgt geändert:

Die Bezugnahme auf „Artikel 22“ wird durch eine Bezugnahme auf „Artikel 24“ ersetzt.

Artikel XIV

Artikel 24 – In-Kraft-Treten und Geltungsdauer für einen Staat – wird wie folgt geändert:

Die Bezugnahme auf „Artikel 22“ wird durch eine Bezugnahme auf „Artikel 24“ ersetzt.

Artikel XV

Artikel 25 – Depositar – wird wie folgt geändert:

Der Ausdruck „Der Generaldirektor“ wird durch den Ausdruck „Der Exekutivsekretär“ ersetzt.

Artikel XVI

Auf Grund des Entfalls von Artikel 8 werden alle Artikel ab Artikel 9 neu nummeriert.

Schlussbestimmungen

Artikel XVII

Unterzeichnung, Ratifikation und Beitritt

(1) Dieses Änderungsabkommen liegt vom 1. Mai 2001 bis 31. Dezember 2001 am Sitz von EUTELSAT zur Unterzeichnung auf.

(2) Alle Parteien des Übereinkommens außer der Amtssitzpartei können Parteien dieses Änderungsabkommens werden, nämlich durch:

                a) Unterzeichnung, die nicht der Ratifikation, Annahme oder Genehmigung bedarf; oder

               b) Unterzeichnung, die der Ratifikation, Annahme oder Genehmigung bedarf, gefolgt von der Ratifikation, Annahme oder Genehmigung; oder

                c) Beitritt.

(3) Ratifikation, Annahme, Genehmigung oder Beitritt erfolgen durch Hinterlegung der betreffenden Urkunde beim Depositar.

(4) Ein Staat, der Partei dieses Änderungsabkommens ist ohne Partei des Protokolls zu sein, ist im Verhältnis zu anderen Parteien dieses Änderungsabkommens an die Bestimmungen des Protokolls in der Fassung des Änderungsabkommens gebunden, nicht aber im Verhältnis zu Staaten, die nur Parteien des Protokolls sind, an die Bestimmungen des Protokolls.

(5) Vorbehalte zu diesem Änderungsabkommen können in Übereinstimmung mit dem Völkerrecht angemeldet werden.

Artikel XVIII

In-Kraft-Treten des Änderungsabkommens

Dieses Änderungsabkommen tritt am dreißigsten Tag nach dem Tag in Kraft, an dem zwei Parteien des Übereinkommens die Bedingungen des Artikels XVII Absatz 2 erfüllt haben.

Artikel XIX

In-Kraft-Treten für einen Staat

(1) Für einen Staat, der die Bedingungen des Artikels XVII Absatz 2 nach In-Kraft-Treten dieses Änderungsabkommens erfüllt hat, tritt dieses Änderungsabkommen am dreißigsten Tag nach dem Tag der Unterzeichnung oder der Hinterlegung der betreffenden Urkunde beim Depositar in Kraft.

(2) Jeder Staat, der nach In-Kraft-Treten dieses Änderungsabkommens gemäß Artikel XVIII Partei des Protokolls wird, wird, wenn dieser Staat keine andere Absicht bekannt gibt:

                a) als Partei des Protokolls in seiner geänderten Fassung betrachtet; und

               b) im Verhältnis zu Parteien des Protokolls, die nicht an das Änderungsabkommen gebunden sind, als Partei des ungeänderten Protokolls betrachtet.


Artikel XX

Depositar

(1) Der Exekutivsekretär ist der Depositar dieses Änderungsabkommens.

(2) Der Depositar unterrichtet insbesondere alle Parteien des Übereinkommens umgehend:

                a) von jeder Unterzeichnung dieses Änderungsabkommens;

               b) von der Hinterlegung jeglicher Ratifikations-, Annahme-, Genehmigungs- oder Beitrittsurkunde;

                c) vom Tag des In-Kraft-Tretens dieses Änderungsabkommens;

               d) von sonstigen Mitteilungen in Bezug auf dieses Änderungsabkommen.

(3) Sofort nach In-Kraft-Treten dieses Änderungsabkommens übermittelt der Depositar dem Sekretariat der Vereinten Nationen eine beglaubigte Abschrift des Originals zur Registrierung und Veröffentlichung nach Artikel 102 der Charta der Vereinten Nationen.

Artikel XXI

Verbindliche Fassungen

Dieses Änderungsabkommen ist in einer Urschrift in englischer und französischer Sprache abgefasst, wobei jeder Wortlaut gleichermaßen verbindlich ist, und wird beim Depositar, der jeder Partei des Übereinkommens eine beglaubigte Abschrift übermittelt, hinterlegt.

ZU URKUND DESSEN haben die hierzu von ihren Regierungen gehörig befugten Unterzeichneten dieses Änderungsabkommen unterschrieben.
